Morgan Stanley and its affiliates maintain social media accounts on various social media platforms including LinkedIn, Facebook, X (formerly Twitter), Instagram, YouTube, WeChat and Weibo. Certain employees of Morgan Stanley and its affiliates maintain social media accounts on LinkedIn, Facebook and X for business use. In both instances, the following important information applies:

A. Definitions

1. “Platforms” mean LinkedIn, Facebook, X (formerly Twitter), Instagram, YouTube, WeChat and Weibo.

2. “Morgan Stanley” means Morgan Stanley and its affiliates who maintain social media accounts on the Platforms.

3. “Firm Accounts” mean social media accounts of Morgan Stanley.

4. “Morgan Stanley Employees” mean certain employees of Morgan Stanley and its affiliates who maintain social media accounts on LinkedIn, Facebook and X for business use.

5. “Morgan Stanley Employee Accounts” mean social media accounts of Morgan Stanley Employees.

6. “Users” mean individuals or entities unaffiliated with Morgan Stanley who interact with content on Firm Accounts and Morgan Stanley Employee Accounts.

7. “Interact” means any interactions with content on Firm Accounts and Morgan Stanley Employee Accounts including but not limited to reactions (e.g. like, thumbs up, heart, and applaud), posts, reposts, shares, reshares, tweet, retweet, comments, direct message and private message.

B. General

1. No Affiliation with Social Media Platforms. Morgan Stanley is not affiliated with the Platforms or any third-party on the Platforms. It is not responsible for and does not endorse or assume liability for content displayed on the Platforms, including the terms of service and privacy policies.

2. Monitoring and Supervision. By Interacting on Firm Accounts and Morgan Stanley Employee Accounts, User freely and voluntarily consents to Morgan Stanley, its employees and agents capturing, monitoring, supervising, retaining, and producing to third-parties in connection with legal proceedings and/or to any regulatory, governmental or law enforcement authority any content Interacted on Firm Accounts and Morgan Stanley Employee Accounts.

3. Privacy. For further information on how Morgan Stanley processes Users personal information, please see the Morgan Stanley Privacy Pledge. By Interacting on Firm Accounts and Morgan Stanley Employee Accounts, User acknowledges that he/she has read and understands the Morgan Stanley Privacy Pledge.

4. Complaints. Users should not submit complaints through Firm Accounts but instead are advised to communicate with their customer representative.

C. Content on Firm Accounts and Morgan Stanley Employee Accounts

1. Content from Firm Accounts and Morgan Stanley Employee Accounts.

a. Purely Informational. Content on Firm Accounts and Morgan Stanley Employee Accounts are for informational purposes only. Morgan Stanley is under no obligation to update or keep current the content, and past performance is not necessarily indicative of future results.

b. Not Advice or Solicitation to Purchase or Sell. Content on Firm Accounts and Morgan Stanley Employee Accounts should not be considered, nor is it intended as, legal, tax, financial, accounting, economic or investment advice, or a recommendation or solicitation to purchase or sell any particular security, product of service.

c. No Representation or Warranty. 2. Content from Users.

a. Not Morgan Stanley’s Views. Content from Users on Firm Accounts and Morgan Stanley Employee Accounts are those of the author and do not reflect or represent the views of Morgan Stanley.

b. Not Responsible for Accuracies. Morgan Stanley does not endorse, adopt or guarantee the accuracy of content from Users on Firm Accounts and Morgan Stanley Employee Accounts and is not responsible for inaccuracies or errors.

c. License to Use Content. By Interacting on Firm Accounts, User grants Morgan Stanley the royalty-free, worldwide, perpetual, irrevocable right and license to use or reproduce User’s content.

d. Right to Delete Content. Content from Users on Firm Accounts may be moderated and published at the discretion of Morgan Stanley. This includes the right to delete off-topic comments, marketing materials, commercial content, copyrighted or trademarked content, or content that does not comply with our guidelines in Section D “Community Guidelines” below, and ban Users as appropriate.

3. No Endorsement of Third-Party Logos. Certain content on Firm Accounts and Morgan Stanley Employee Accounts may contain references to third-party logos. References to third-party logos are strictly for informational and identification purposes only, and is not used to imply any ownership, or license rights between the company to which such logo relates and Morgan Stanley.

4. Applicable Disclaimers. Morgan Stanley’s Generally Applicable Disclaimers apply to all electronic messages Users receive from and exchange with Morgan Stanley and Morgan Stanley Employees. By Interacting on Firm Accounts and Morgan Stanley Employee Accounts, User acknowledges that he/she has read and understand the Morgan Stanley Generally Applicable Disclaimers.

D. Community Guidelines

Morgan Stanley requests that Users:

1. For Firm Accounts and Morgan Stanley Employee Accounts, do not Interact in a way that may be deemed as:

a. Inappropriate, abusive, harassing, stalking, threatening or attacking others;

b. Offensive, defamatory, obscene, vulgar or depicting violence;

c. References to upsetting or distressing subjects;

d. Hateful in language targeting race/ethnicity, age, colour, creed, religion, gender, sexual preference or orientation, nationality or political beliefs;

e. Sexually explicit or pornography;

f. Fraudulent, deceptive, libelous, misleading or unlawful;

g. References to criminal or illegal activity;

h. Violations of any intellectual property rights;

i. Spamming in nature; and

j. Viruses, malware, spyware or programs that could damage the operation of other people’s computers.

2. For Firm Accounts, do not Interact by including personal or confidential information including banking and account information.

3. For Firm Accounts and Morgan Stanley Employee Accounts, do not copy, distribute, publish or reproduce, in whole or in part, content on Firm Accounts and Morgan Stanley Employee Accounts without the express written consent of Morgan Stanley.
